The planned $1.6 billion merger between blank-check company Dynamix Corporation (DYNX) and Ethereum treasury firm The Ether Machine has been officially terminated. The companies cited unfavorable market conditions as the primary reason for ending the deal, which was first announced in July 2025.

The agreement was structured to bring The Ether Machine to the Nasdaq stock exchange under the ticker symbol ETHM through a Special Purpose Acquisition Company, or SPAC, transaction. The Ether Machine was designed to function as an Ethereum-based treasury and yield vehicle, generating returns for investors through ETH staking and decentralized finance strategies while maintaining substantial Ether reserves. As of the termination announcement, the company holds approximately 496,712 ETH valued at over $1.1 billion.

When the merger was first unveiled, it drew considerable attention within the crypto and financial sectors. The deal featured a $1.5 billion fully committed PIPE financing arrangement — reportedly the largest all-common-stock raise of its kind since 2021 — along with roughly $170 million held in Dynamix's trust account. The combined entity was projected to launch with more than 400,000 ETH on its balance sheet, bolstered by a contribution from co-founder Andrew Keys.

Despite its ambitious scope, both parties ultimately agreed to walk away. In a filing submitted to the U.S. Securities and Exchange Commission, The Ether Machine confirmed the mutual decision to terminate. Under the terms of the exit agreement, Dynamix Corporation is set to receive a $50 million termination payment within 15 days.

The collapse of this deal reflects the ongoing challenges facing crypto-focused public listings in volatile market environments, raising questions about the near-term viability of large-scale digital asset SPAC transactions on major U.S. exchanges.
